Terms of Service

Effective Date: April 26, 2026

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by ScaleX Innovation SAS ("ScaleX", "we", "us", or "our"), including scalexi.ai, AssessX, UrJob, ReviewAnything, ReviewPilot, PatentX, ScaleXI Crew, and XEducation (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use our Services.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 16 years old to use our Services. If you are between 16 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

Some Services require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and update your information to keep it accurate.
  • Keep your password confidential and not share your account credentials.
  • Notify us immediately at security@scalexi.ai of any unauthorized use.

You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of Services

ScaleX Innovation provides AI-powered software platforms and services, including:

  • AssessX: AI assessment platform for universities (automated grading, exam creation, learning outcome tracking).
  • UrJob: AI recruitment platform (job posting, candidate matching, automated screening).
  • ReviewAnything: AI document and content review platform.
  • ReviewPilot: AI-assisted peer review for academic publishing.
  • PatentX: AI patent management (prior art search, drafting assistance).
  • ScaleXI Crew: Enterprise AI agent framework.
  • XEducation: AI platform for higher education institutions.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Submit or transmit harmful, fraudulent, deceptive, or illegal content.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use automated means (bots, scrapers) to access the Services without written permission.
  • Reverse-engineer, decompile, or disassemble any part of the Services.
  • Use AI-generated outputs to impersonate individuals or create misleading content.

6. Payments, Subscriptions, and Billing

Pricing: Some Services are offered on a subscription basis or with usage-based pricing. Prices are displayed at the time of purchase and may change with 30 days' notice.

Payment Processing: Payments are processed through Stripe, Paddle, and PayPal. By making a purchase, you agree to the applicable payment processor's terms. We do not store your full payment card details.

Recurring Subscriptions: Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings or by emailing billing@scalexi.ai.

Refund Policy: You may request a refund within 14 days of your initial purchase. After the 14-day period, fees are non-refundable except where required by applicable law.

Taxes: Prices may be exclusive of applicable taxes (VAT, sales tax). You are responsible for any taxes associated with your use of the Services.

7. Free Trials

We may offer free trials at our discretion. At the end of a free trial, your subscription will automatically convert to a paid plan unless cancelled. We will notify you before the trial expires and before any charge is applied.

8. Intellectual Property

Our IP: All content, software, algorithms, models, trademarks, and materials in the Services are owned by ScaleX Innovation or its licensors and protected by international intellectual property laws.

Your Content: You retain ownership of content you submit. By submitting content, you grant us a limited license to process, store, and display it solely for providing the Services. We will not use your content to train AI models without your explicit consent.

AI Output: Output generated by our AI Services is provided for your use subject to these Terms. You are responsible for reviewing and verifying AI-generated content before relying on it.

9. Account Termination and Deletion

By You: You may delete your account at any time through account settings or by emailing support@scalexi.ai. See our Data & Account Deletion page for details.

By Us: We may suspend or terminate your account for violations, fraud, or legal requirements. We will provide notice and an opportunity to export your data where possible.

Effect: Upon termination, your access ceases immediately. Personal data is deleted per our Privacy Policy. Outstanding payment obligations survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, ScaleX Innovation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred euros (€100).

12. Indemnification

You agree to indemnify and hold harmless ScaleX Innovation and its affiliates from any claims, damages, losses, and expenses arising from your use of the Services, your content, or your violation of these Terms.

13. Dispute Resolution

Informal Resolution: Before filing any formal dispute, contact us at legal@scalexi.ai and attempt to resolve informally for at least 30 days.

Governing Law: These Terms are governed by the laws of France.

Jurisdiction: Disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

14. General Provisions

Force Majeure: We are not liable for failures resulting from causes beyond our reasonable control (natural disasters, pandemics, internet outages, etc.).

Severability: If any provision is held invalid, the remaining provisions continue in full force.

Entire Agreement: These Terms, our Privacy Policy, and any product-specific terms constitute the entire agreement between you and ScaleX Innovation.
